State Franchise Registration Status and Franchise Laws

Delaware

Registration or Filing Required? No
Business Opportunity Laws? Yes

Delaware is not a franchise registration state nor a franchise filing state, so you may offer or sell your franchise without registering or filing your Franchise Disclosure Document (“FDD”) with the state, provided that you are compliant with the Federal Franchise Rule.

Does Delaware Have Specific Franchise Laws?

Despite not being a registration or filing state, Delaware has enacted Franchise Security Laws designed to provide relief to franchisees from unjust termination or failure to renew on the part of the franchisor. Specifically, the laws provide that franchisors cannot terminate or fail to renew a franchise agreement without good cause and entitles a franchisee to recover damages if it does.

Fun Fact: For being a state with such a rich history (it was the first state after all), it is just bizarre that Delaware is also the only state without a National Park, National Monument OR National Historic Site. Seriously?
